Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the MarillionEx platform ("the Platform"), operated by MarillionEx. By accessing or using the Platform, you agree to be bound by these Terms.

2. Platform Description

The Platform provides:

• A public website with information about MarillionEx services
• A client portal for tobacco merchant clients to view their woodlot portfolios, carbon credits, ESG reports, and billing
• Field officer tools for authorised personnel to submit planting data and field reports
• Management dashboards for MarillionEx administrators

3. User Accounts

Access to portal features requires a registered account. Accounts are created by MarillionEx administrators and assigned a role (merchant client, field officer, or administrator). You are responsible for maintaining the confidentiality of your login credentials. You must notify MarillionEx immediately of any unauthorised use of your account. You agree to provide accurate and current information when using the Platform.

4. Acceptable Use

You agree not to:

• Access data belonging to other users or merchant accounts
• Attempt to bypass role-based access controls
• Submit false or misleading field data, planting records, or survival counts
• Use the Platform for any unlawful purpose
• Reverse-engineer, copy, or redistribute any part of the Platform
• Share your login credentials with unauthorised persons

5. Data Ownership

• You retain ownership of all business data you provide to the Platform
• ESG reports, carbon credit documentation, and other documents generated by MarillionEx on your behalf are owned by you upon delivery and payment
• All website content, design, text, graphics, and software comprising the Platform are owned by MarillionEx
• Carbon credits registered on your behalf remain your property. MarillionEx acts as broker and agent, not owner, of your carbon credits

6. Service Availability

We strive to keep the Platform available at all times but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned maintenance.

7. Fees and Payment

Platform access is provided as part of your MarillionEx service agreement. Specific fees for consultancy, management, carbon credit brokerage, and timber brokerage services are governed by your individual merchant contract and are not determined by these Terms. Invoices issued through the Platform are payable in accordance with the terms stated on each invoice.

8. Limitation of Liability

All financial projections, timber valuations, carbon credit estimates, and revenue forecasts displayed on the Platform are indicative estimates based on current market conditions and growth assumptions. They do not constitute financial advice or guarantees of future performance. To the maximum extent permitted by law, MarillionEx shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform.

9. Termination

MarillionEx may suspend or terminate your access to the Platform if you breach these Terms, if your service agreement with MarillionEx expires or is terminated, or if required by law. Upon termination, you may request a copy of your data in accordance with our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of Zimbabwe. Any disputes arising from these Terms shall be subject to the jurisdiction of the courts of Zimbabwe.
